4. Client Responsibilities

  • Take responsibility for decisions and actions within your business

Delays or failure to provide required input may impact delivery.

5. Fees and Payment

Where services are provided on a paid basis:

  • Fees will be agreed in advance
  • Payment terms will be specified in writing
  • Invoices must be paid within the stated period

We reserve the right to:

  • Suspend services for overdue payments
  • Charge interest on late payments where appropriate

6. Cancellations and Rescheduling

For booked calls, sessions, or meetings:

  • You may reschedule with reasonable notice
  • Late cancellations or non-attendance may result in loss of the session

For ongoing work:

  • Either party may terminate with reasonable notice, as agreed in writing

7. Intellectual Property

Unless otherwise agreed:

  • Materials, systems, and content developed by us remain our intellectual property
  • You are granted a licence to use these within your business

You may not:

  • Resell or distribute materials without permission
  • Represent our work as your own

8. Confidentiality

Both parties agree to:

  • Treat all confidential information as private
  • Not disclose sensitive business information to third parties

This obligation continues after the end of the engagement.

9. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for indirect or consequential loss
  • Our total liability is limited to the fees paid for the relevant services

We provide advice and systems to support your business, but decisions and outcomes remain your responsibility.

10. Use of Third-Party Tools

We may recommend or implement third-party tools, for example CRM systems and automation platforms.

You acknowledge that:

  • These tools are provided by third parties
  • We are not responsible for their performance, security, or pricing
  • You are responsible for ongoing subscriptions and usage

11. Specialist Consultants and Advisors

Where we introduce or engage specialist consultants:

  • They may operate as independent contractors
  • Their input forms part of the overall service delivery

We will:

  • Select appropriate specialists based on requirements
  • Coordinate delivery where relevant

However:

  • We are not responsible for the independent actions of third-party consultants
  • Any separate agreements with those consultants are between you and them

12. Data Protection

We handle personal data in accordance with our Privacy Policy.

You agree that:

  • We may process your data to deliver services
  • You have the right to request access, correction, or deletion

13. Changes to Terms
